The funding round consists of approximately $7.5 billion in equity and $12.5 billion in debt. The funds will be tied to xAI's largest data center project, Colossus 2, in Memphis. Nvidia will invest up to $2 billion in equity in the transaction. xAI will be structured through a special purpose vehicle (SPV), which will purchase Nvidia GPUs and lease them for five years. This round also includes participation from Apollo Global, Diameter Capital, and Valor Capital. xAI has previously raised approximately $10 billion in funding.
