最新报道:According to Bijie.com, the Uniswap Foundation, which oversees the largest decentralized spot cryptocurrency exchange, has proposed establishing a new legal entity for its governance organization based on Wyoming's Decentralized Unincorporated Nonprofit Association (DUNA) framework. This new legal entity, called "DUNI," would retain Uniswap's DAO's existing governance structure and place it within a legal framework that would enable it to retain service providers, enter into contracts, and fulfill regulatory and tax compliance obligations. Uniswap's DAO would be the largest decentralized organization to adopt this legal framework. Under the terms of the proposal, it would receive $16.5 million worth of UNI to satisfy prior tax obligations and fund its legal defense budget. Because Uniswap has never elected to be treated as a corporation for tax purposes, the Foundation anticipates the IRS bill to be less than $10 million to satisfy prior tax obligations and any penalties. The Foundation noted in its announcement that adopting the DUNA framework would pave the way for Uniswap to initiate protocol fees, shifting a small portion of limited partner fees to the DAO treasury. "[With the legal framework], DUNA unlocks a huge amount of power in terms of what can be done, what can be participated in, and what can be traded," Brian Nistler, general counsel at the Uniswap Foundation, told The Block. "It obviously lays the groundwork for the fee conversion vote to come... and really formalizes the activities of [Uniswap governance] while protecting participants in collective decision-making." Nistler noted that under the DUNA framework, fee revenue cannot be distributed directly to UNI token holders. "While we are adopting this legal framework, it does not actually change the decentralization of Uniswap governance or the DAO," he said. The proposal will also allocate $75,000 to Cowrie, a consulting firm co-founded by David Kerr, to serve as the administrator of DUNA. Kerr was deeply involved in the writing of the Wyoming statute, which was passed in March 2024. Nistler called him "an excellent confidant and advisor" throughout the DUNA evaluation process. The proposal comes as other cryptocurrency protocols are looking to recentralize some operations, often in the name of efficiency, such as the LayerZero Foundation's proposal to acquire the Stargate bridge or NFT giant Yuga Labs' proposal to dissolve its ApeCoin DAO. "For me personally, a big unlock for our industry is not just redoing things on-chain, but reshaping how we do things as a matter of choice and collective decision-making," said Nistler. "DAOs have been a little behind in this regard, but I feel like with the DUNA entity, there's a path for DAOs to elevate their operations and gain protections and still be able to collectively participate and take action towards the future they want to maintain."
